Terms & Conditions

These terms govern your use of norpex.ca and any purchase you make from Norpex (“we,” “our,” “us”). They are written for commercial buyers — Norpex sells commercial food-service and hospitality equipment to businesses, not consumers. By using the site or placing an order, you accept these terms.

1. Acceptance

Accessing, browsing, or placing an order on norpex.ca constitutes acceptance of these terms and our Privacy Policy. If you do not accept them, do not use the site.

2. Eligibility

The site is intended for commercial use. By placing an order you represent that:

  • You are at least 18 years of age and have the authority to bind the business on whose behalf you are ordering.
  • You are purchasing for commercial, business, or institutional use, not as a consumer.
  • The information you provide is accurate and complete.

3. Account responsibility

If you create a Norpex account, you are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us immediately at hello@norpex.ca if you suspect unauthorized access.

4. Order acceptance

Placing an order constitutes an offer to purchase. We accept orders by sending a shipping confirmation. We reserve the right to decline or cancel any order — including but not limited to orders flagged for fraud risk, orders for items that have become unavailable, orders with pricing errors, and orders we believe in good faith are not for legitimate commercial use.

5. Pricing and taxes

  • All prices are quoted in Canadian dollars (CAD) unless otherwise stated.
  • Prices are subject to change without notice. The price applicable to your order is the price displayed at checkout when you place the order.
  • Applicable federal and provincial sales taxes (GST, HST, PST, QST) are added to your order based on the shipping destination and tax rules in force at the time of sale.
  • Tax-exempt customers (registered charities, certain First Nations purchases, qualifying institutional buyers, etc.) must upload a valid tax exemption certificate via their B2B account before tax exemption is applied. Exemption applies prospectively, not retroactively.
  • Where pricing errors are obvious (mistype, missing decimal, etc.), we may cancel the order and refund any payment taken.

6. Payment terms

  • Standard payment methods: credit card (Visa, Mastercard, American Express) or ACH/EFT at the time of order, or wire transfer for larger orders.
  • Net-30 terms are available for approved business accounts via the Wholesale program. Approval requires a credit application, trade references, and acceptance of net terms in writing.
  • Late payments on Net-30 invoices accrue interest at 1.5% per month (18% annualized) on outstanding balances, or the maximum rate permitted by law, whichever is lower.
  • For special-order or custom items we may require a deposit (typically 50%) before placing the manufacturer order.

7. Shipping and risk transfer

Shipments are FOB origin. Title and risk of loss transfer to you when the freight carrier accepts the shipment from our warehouse or supplier. Shipping arrangements, accessorial services, and damaged-on-delivery procedures are detailed on the Shipping page.

Estimated delivery dates are estimates. We do not guarantee specific delivery dates and are not liable for losses caused by delivery delays, including delays attributable to carriers, customs, weather, or events outside our reasonable control.

8. Returns

Returns are governed by the Returns & Refunds policy, which is incorporated into these terms by reference.

9. Warranty

Equipment carries the manufacturer’s warranty as detailed on the Warranty page. EXCEPT FOR THE MANUFACTURER WARRANTY, NORPEX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. Limitation of liability

To the fullest extent permitted by law, Norpex is not liable for:

  • Indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
  • Damages arising from improper installation, misuse, or operation of equipment.
  • Damages arising from delivery delays.

Norpex’s aggregate liability for any claim relating to an order is limited to the amount you paid for the items giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Norpex and its officers, directors, employees, and suppliers from any claims, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these terms, your violation of any law, or your misuse of equipment purchased from Norpex.

12. Intellectual property

The content of norpex.ca — including text, graphics, page layout, the Norpex name and logo, and original photography — is owned by or licensed to Norpex and is protected by Canadian and international copyright and trademark law. You may not reproduce, modify, distribute, or commercially exploit any of this content without prior written permission.

Some product images, descriptions, and specification sheets are supplied by manufacturers and remain the property of those manufacturers.

13. Governing law and disputes

These terms and any dispute arising from your use of the site or purchase from Norpex are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts of Ontario have exclusive jurisdiction over any dispute arising under these terms, and you consent to the personal jurisdiction of those courts.

14. Force majeure

Norpex is not liable for any failure or delay in performance caused by events beyond its reasonable control — including but not limited to acts of god, war, terrorism, civil disturbance, labour disputes, transportation disruptions, supply-chain failures, government action, or pandemic.

15. Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full force.

16. Updates

We may update these terms from time to time. The current version is always posted at this URL with the “Last updated” date. Material changes will be flagged on the site or by email to account holders. Continued use of the site after the effective date constitutes acceptance.
